Terms of Service
Last updated: February 22, 2026. These Terms of Service ("Terms") govern your use of the Kaitelos website and any products, automations, systems, or services we deliver ("Services"). By using our Services, you agree to these Terms.
1. Nature of Our Services
Kaitelos builds proof-led agent systems and automation that deliver measurable outcomes. Our deliverables may include, but are not limited to: agent workflows and multi-step automations; data pipelines; integrations with third-party systems (e.g., CRMs, e-commerce, support tools); and related consulting, design, and implementation work. We deliver work as agreed in statements of work, proposals, or other written agreements. You are responsible for understanding the scope, capabilities, and limitations of what we deliver before you deploy or rely on it.
2. Risks of Automation; Your Acknowledgment
Automation and agent-based systems involve inherent risks. These include, without limitation: errors or unexpected behavior; dependence on third-party APIs, data, or infrastructure; changes in external systems that affect our deliverables; delays, failures, or incorrect outputs; and business or operational impact from any of the foregoing. Probabilistic or AI-based components may produce outputs that are incorrect, incomplete, or unsuitable for your use case. You acknowledge that you understand these risks and that you have had the opportunity to ask questions and receive information about the work we deliver.
3. Release of Liability for Deployment and Use
Automations, agent systems, and any other systems we build are deployed and used at your discretion. Deployment and use of our deliverables may be subject to a separate release of liability or acceptance form, which you may be required to sign or acknowledge before go-live. By deploying or using any automation or system we deliver, you release Kaitelos from liability arising from such deployment or use, except as otherwise expressly agreed in a signed written agreement. You accept responsibility for how you configure, operate, monitor, and rely on our deliverables in your environment.
4. Limitation of Liability; No Liability for Damages
To the maximum extent permitted by applicable law, Kaitelos and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with these Terms or the Services, whether based in contract, tort (including negligence), strict liability, or otherwise. Our total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount you actually paid to Kaitelos for the specific Services giving rise to the claim in the twelve (12) months preceding the claim, or, if no such amount was paid, fifty United States dollars (USD $50). You agree that Kaitelos cannot be held liable for damages beyond what is expressly set forth in this section, and that the limitations and exclusions in this section are a reasonable allocation of risk between you and Kaitelos.
5. Acceptance of Risk; Final Decision
You understand that utilizing our products and services involves risk. You have had the opportunity to understand the work we deliver and the risks of automation described in these Terms. The decision to accept those risks and to use our products and services is yours. By engaging Kaitelos, receiving deliverables, or deploying or using any automation or system we build, you confirm that you have read and understood these Terms, that you accept the risks described herein, and that you make the final decision to utilize our products and services with full knowledge of those risks.
6. Scope of Engagement; Written Agreements
The specific scope, deliverables, fees, and other terms of our engagement may be set out in a statement of work, proposal, order form, or other written agreement ("Project Agreement"). In the event of a conflict between these Terms and a Project Agreement, the Project Agreement shall control with respect to that project only. These Terms otherwise apply to all use of our website and Services.
7. Intellectual Property; Ownership of Deliverables
Ownership of deliverables and intellectual property will be as set forth in the applicable Project Agreement. Unless otherwise agreed in writing, you receive a license or assignment to use the specific deliverables we create for you as specified in that agreement. Kaitelos may use general skills, know-how, and pre-existing tools in performing the Services.
8. Third-Party Services and Data
Our Services may depend on or integrate with third-party services, APIs, or data. We are not responsible for the availability, accuracy, or terms of those third parties. Your use of third-party services remains subject to their respective terms and policies. We do not guarantee continued compatibility with any third-party service.
9. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top will reflect the effective date. Continued use of our website or Services after changes constitutes acceptance of the revised Terms. For active projects, the Terms in effect at the time of the Project Agreement typically apply unless we agree otherwise.
10. General
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved in the courts of competent jurisdiction in Delaware. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These Terms, together with any applicable Project Agreement and our Privacy Policy, constitute the entire agreement between you and Kaitelos regarding the Services.
